The Annual Organization and Semi-Monthly Meeting of the Board of Trustees of the Village of Menands was held on the 7th day of July 2025, in the Municipal Building, Menands, New York. Mayor Brian Marsh called the meeting to order at 6:00 P.M.

Mayor Marsh congratulated Lisa Neuman and Tim Lane on their election to a 4-year term as Village Trustees.

Mayor Marsh thanked Seth Harris for his 12 years of service on the board.

Mayor Marsh appointed Trustee Tim Lane as Deputy Mayor to function in his place and stead during his absence or inability to act, and is vested with all powers and performs all the duties of the Mayor, as per Section 4-400 of the Village Law.

FURTHER RESOLVED, that by Article 57-A:

a) Only those records will be disposed of that are described in the Record Retention and Disposition Schedule LGS-1 after they have met the minimum periods described therein.
b) Only those records will be disposed of that do not have a sufficient administrative, fiscal, legal, or historical value of merit retention beyond established legal minimum periods.

GENERAL MEETING PROCEDURES:

  • The Mayor presides over meetings of the Board of Trustees and sets the agenda for each meeting.
  • If the Mayor is absent, the Deputy Mayor may preside over meetings of the Board of Trustees and/or appoint a Trustee to preside in their place.
  • A quorum will consist of three members of the Board of Trustees.
  • To have a resolution approved, it must be entered, seconded, and voted on with a majority of the votes.
  • Every meeting of the Board of Trustees must be open to the public.
  • All meetings will be recorded both video and audio.

Special Meetings

  • Special Meetings of the Board of Trustees refer to all Board Meetings other than regular meetings.
  • A special meeting may be called by the Mayor or any Trustee upon notice to the entire Board.
  • Notice may be given to Board members by telephone, in person, email, or in writing at least 72 hours in advance unless an emergency exists.
  • Notice to the public on the Village Website, posted in the lobbies of the Menands Police Department and the Village Office.
  • At Workshops and Special Meetings, the public may attend but cannot comment unless recognized by the Mayor or presiding officer.

Public Hearings:

  • Notice to the public on the Village Website, Times Union Legal Section, posted in the lobbies of the Menands Police Department and the Village Office, at least seven days before the meeting.
  • The presiding officer must open the Public Hearing.
  • The Clerk must read the Notice of the Public Hearing.
  • The public must be allowed to comment only on the topic of the Public Hearing.
  • The presiding officer must close the Public Hearing.
  • No vote may be taken during the Public Hearing.

Other procedures:

  • Executive Session is not open to the General Public.
  • Videoconferencing must provide an opportunity for the public to attend, listen, observe, and participate in the meeting.
  • Notice of the meetings and agendas will be available on the Village Website and posted in the lobbies of the Menands Police Department and the Village Office.
  • Public Comments:
    • Comments of any length may be provided to the Village Clerk.
    • The public may only speak during the Public Comment period.
    • The presiding officer must recognize speakers.
    • Speakers must limit their remarks to 3 minutes.
    • All remarks must be addressed to the Board as a body and not to individual Board Members.

Mayor Marsh requested two changes to the Village of Menands Procurement Policy, increasing the dollar limits according to bid documentation requirements to $2,500, $5,000, and over $5,000.

Trustee Harbour offered the following resolution and moved its adoption:

PROCUREMENT POLICY FOR THE VILLAGE OF MENANDS

1. Every purchase must be initially reviewed to determine whether it is a purchase contract or a public works contract. Once that determination is made, a good-faith effort will be made to decide whether or not it is known or can reasonably be expected that the aggregate amount to be spent on the item of supply or service is not subject to competitive bidding, considering past purchases and the competitive amount to be paid each year. The following items are not subject to competitive bidding according to Section 103 of the General Municipal Law; purchase contracts under $20,000 and public works contracts under $35,000; emergency purchases; certain municipal hospital purchases; goods purchased from agencies for the blind or severely handicapped; goods purchased from correctional institutions; purchases under State and county contracts; and surplus and second-hand purchases from another governmental entity.
The decision that a purchase is not subject to competitive bidding will be documented in writing by the individual making the purchase. This documentation may include written or verbal quotes from vendors, a memo from the purchaser indicating how the decision was arrived at, a copy of the contract indicating the source that makes the item or service exempt, a memo from the purchaser detailing the circumstances that led to an emergency purchase, or any other written documentation that is appropriate.
2. All goods and services will be secured by the use of written requests for proposals, written quotations, verbal quotations, or any other method that assures that goods will be purchased at the lowest price and that favoritism will be avoided, except in the following circumstances: purchase contracts over $20,000 and public works contract over $35,000; goods purchased from agencies for the blind or severely handicapped according to Section 175-b of the State Finance Law; goods purchased from correctional institutions according to Section 186 of the Correction Law; purchases under State contracts according to Section 104 of the General Municipal Law; purchases under county contacts according to Section 103(3) of the General Municipal Law; or purchases according to subdivision 6 of this policy:

A good-faith effort shall be made to obtain the required number of proposals or quotations. If the purchaser is unable to obtain the required number of proposals or quotations, they will document the attempt made to obtain them. In no event shall the failure to obtain the proposals be a bar to the procurement.
4. Documentation is required for each action taken in connection with each procurement.
5. Documentation and an explanation are required whenever a contract is awarded to someone other than the lowest responsible offeror. This documentation will include an explanation of how the award will achieve savings or how the offer was not responsible. The purchaser shall decide that the offer is not responsible and may not be challenged under any circumstances.

6. According to General Municipal Law Section 104-b(2)(f), the procurement policy may contain circumstances when, or types of procurements for which, in the sole discretion of the governing body, the solicitation of alternative proposals or quotations will not be in the best interest of the municipality. In the following circumstances, it may not be in the best interests of the Village of Menands to solicit quotations or document the basis for not accepting the lowest bid:
a. Professional services or services requiring special or technical skill, training, or expertise. The individual or company must be chosen based on accountability, reliability, responsibility, skill, education and training, judgment, integrity, and moral worth. These qualifications are not necessarily found in the individual or company that offers the lowest price, and the nature of these services does not readily lend itself to competitive procurement procedures.
In determining whether a service fits into this category, the Board of Trustees shall take into consideration the following guidelines: (a) whether the services are subject to State licensing or testing requirements; (b) whether substantial formal education or training is a prerequisite to the performance of the services; and (c) whether the services require a personal relationship between the individual and municipal officials. Professional or technical services shall include but not be limited to the following: services of an attorney; services of a physician; technical services of an engineer engaged to prepare plans, maps, and estimates; securing insurance coverage and/or services of an insurance broker; services of a certified public accountant; investment management services; printing services involving extensive writing, editing or artwork; management of the municipally owned property; and computer software or programming services for customized programs, or services involved in substantial modification and customizing of pre-packaged software.
b. Emergency purchases pursuant to Section 103(4) of the General Municipal Law. Due to the nature of this exception, these goods or services must be purchased immediately, and seeking alternate proposals may threaten the life, health, safety, or welfare of the residents. This section does not preclude alternate proposals if time permits.
c. Purchases of surplus and second-hand goods from any source. If alternate proposals are required, the Village is precluded from purchasing surplus and second-hand goods at auctions or through specific advertised sources where the best prices are usually obtained. It is also challenging to compare prices of used goods, and a lower price may indicate an older product.
d. Goods or services under $2,500. The time and documentation required to purchase through this policy may be more costly than the item itself, and therefore would not be in the best interests of the taxpayer. Additionally, it is unlikely that such de minimis contracts would be awarded based on favoritism.
7. To ensure that this policy and budgets are being implemented, Village Department heads are required to meet with the Village treasurer at least quarterly.
8. The Village Board hereby adopts, by resolution, and according to GML 103(5) that for reasons of efficiency and economy, there is a need for standardization, and upon adoption of a resolution for a particular type or kind of equipment, material, or supplies, maybe not necessarily be awarded to the lowest responsible bidder.
9. Will be reviewed annually.

Mayor Marsh led a discussion regarding the need for a resolution for the Brownfield Opportunity Areas Program grants through a State Assistance Contract. Discussion followed.

Trustee Lane entered the following Resolution:

THAT THE VILLAGE OF MENANDS WILL SUBMIT AN APPLICATION FOR A BOA PLAN

WHEREAS,
The Village of Menands, New York, herein called the “Applicant”, after thorough consideration, has hereby determined that certain work, as described in its application and attachments, herein called the “Project”, is desirable; and

WHEREAS,
§970-r of the General Municipal Law authorizes State assistance to eligible parties for Brownfield Opportunity Areas Program grants by means of a State Assistance Contract (the contract); and

WHEREAS,
The Village of Menands, New York, deems it to be in the public interest and the best interest of the Village to enter into a contract with it.

NOW, THEREFORE, BE IT RESOLVED BY

The Menands Village Board

1. That Brian Marsh, Mayor of the Village, is the representative authorized to act on behalf of all applicants in all matters related to State assistance under §970-r of the General Municipal Law for the Project. The representative is also authorized to: sign and submit the application; execute the contract; request payment advances and reimbursements; redistribute contract reimbursements as necessary; submit Project documentation; and otherwise act on behalf of all applicants in all matters related to the Project and state assistance.

2. The Applicant intends to complete a BOA Plan or Plan for an approximate 500-acre area characterized by numerous vacant, underutilized, and potential brownfield sites in the Village of Menands, hereafter to be referred to as the Village of Menands Brownfield Opportunity Area.

3. That the Applicant requests funds for $200,000, representing no more than 90% of the total Project costs;

4. That the Applicant agrees that it will fund the Applicant’s minimum required 10% share of the Project;

5. That the Applicant agrees to complete the BOA Plan promptly and to seek official Designation of the Brownfield Opportunity Area by the Secretary of State upon completion of the BOA Plan; and

6. This authorization takes effect immediately.

CERTIFICATE OF RECORDING OFFICER

That the attached Resolution is a true and correct copy of the Resolution, as regularly adopted at
a legally convened meeting of the Village of Menands Board of Trustees duly held on the 7th day of July 2025; and further that such Resolution has been fully recorded in the Menands Village Office.

Resolution Number: 260022

Mayor Marsh led a discussion regarding the Police Command Staff contract, Council 82. The Mayor and the Village’s Labor Attorney, William Wallens, have agreed on the contract. Discussion followed.

After a discussion, Trustee Lane made a motion to approve the Police Command Staff Contract Council 82, seconded by Mayor Marsh.

Mayor’s Report:

  1. Before the start of the July 21st, 2025, Board Meeting, there will be an update on the South End Water/Sewer Project.
  2. National Grid will begin gas line replacement on Wolfert Avenue next week.
  3. Concerts in the Park begin on July 8, 2025, and the Food Truck Festival starts on July 9, 2025. Community Night is scheduled for August 20, 2025. The rain location will be the Menands Market.
  4. The Village is working on repairs to the Menands Road sewer line with the Town of Colonie.
  5. The Village is working with the businesses on Simmons Lane regarding parking.
  6. On July 16, 2025, the Menands Market will host Squash Fest. The local farms will be donating squash, and the proceeds will be donated to Sacred Heart Food Pantry.
  7. LaBella is working on the lead water line services within the Village.
  8. The Village is working with the Albany County Health Insurance Co-op
  9. The City of Troy’s Annual Water Quality Report is available on the Village Website.
  10. Today was the last day of the Village Court. Mayor Marsh thanked Judges Flint, Becher, and Rowley for their service.
  11. After some minor renovations, the Village Board Meeting will be held in the Courtroom.
  12. Two businesses will expand within the Village. More information is coming.
  13. Court Clerk Susan Dube will be retiring on July 24, 2025. The Board thanked her for her years of service to the Village of Menands Court.
  14. The Restore NY Grant for Mid-City Plaza has been approved for payment.

Trustee Reports:

Trustee Lane:

  1. Gave an update on the Little River Grant.
  2. Asked if their CP Rail has been contacted regarding the flood on Menand Road. The Clerk advised that an email was sent today.
  3. The Village should look into the Bricks Grant.

Trustee Kalogridis:

  1. Asked about Menand Road RR crossing, the lights and bars were down with no train?
  2. Asked if the police could do something about cars parking on the sidewalks.

Trustee Neuman:

  1. The streetlights near Fleet Pride and across from Village One are not working. Asked if Colonie can be contacted to repair.

Harbour:

  1. The Senior Picnic was a success. Thanked the Seniors for inviting the Board.
  2. The Park Program started on Monday, July 7, 2025.

Clerk’s Report:

Thank everyone for their support regarding his wife having a stroke.

Resident Bill Garvey made the following comments:

  1. He is in support of the South End Water Sewer Project
  2. He thanked DPW for repairing the soap dispenser in the Men’s Room
  3. On 6/5 & 6/7 he found the bathrooms unlocked near the baseball field. He locked the doors.
  4. On 6/12 he found the lights on at the pavilion
  5. He is glad to hear that DPW will be hiring 3 summer help
  6. He is glad to hear that the Salt Shed is going to be replaced
  7. He observed broken glass on North Lyon Ave. and swept it up
  8. He observed a fire hydrant on Canal St. covered by weeds
  9. While on Brookside Ave observed potholes
  10. Would like to have term limits for all elected positions to 2 terms
  11. Donated 8 plastic containers to DPW
  12. Would like local law prohibiting fireworks
  13. Is there concern about the condition of 559 Broadway and if there are any tenants?
  14. There is a fire hydrant on Brookside covered by weeds

Resident Steve Boulet:

  1. Thanked the Village for the nice article regarding his son Jeff in the Menands Monthly.
  2. Enquired about the sidewalks that have ground down that are slippery when it rains.
